CHESAPEAKE, VA and MATTHEWS, NC: Dollar Tree, Inc. (DLTR), the nation’s leading operator of discount variety stores selling everything for $1 or less, and Family Dollar Stores, Inc. (FDO), a leading national discount retailer offering name brands and quality, private brand merchandise, today announced that they have entered into a definitive merger agreement under which Dollar Tree will acquire Family Dollar in a cash and stock transaction. The value of the consideration is $74.50 per share, a 22.8% premium over Family Dollar’s closing price as of July 25.
The transaction has been unanimously approved by the Boards of Directors of both companies and is expected to close by early 2015.
